Dropbox CEO Drew Houston Faces Call for Voting Control Revocation

A call has emerged to revoke the control of Drew Houston, co-founder and CEO of Dropbox Inc. According to a report by The Wall Street Journal on Monday, hedge fund Half Moon Capital has expressed dissatisfaction with the company’s slow revenue growth and pricing strategy. Reuters also reported on the matter.

The report states that Half Moon Capital has proposed eliminating Dropbox’s dual-class share structure, which grants Houston a supermajority voting power.

Houston's Class B shares hold ten times the voting power of Class A shares, allowing him to retain approximately 77% of the company’s voting rights. For the proposal to pass, a majority vote is required, making Houston’s approval crucial.

Half Moon Capital owns around 40,000 Dropbox shares, valued at approximately $1.1 million based on recent evaluations. The investment group believes that this proposal will pressure the company’s management and board to consider additional structural changes.

In October 2024, Dropbox announced a global workforce reduction of 20%, following a 16% layoff in 2023.
