BSEC Approves Walton Digi-Tech–Walton Hi-Tech Merger
The board of Walton Hi-Tech Industries PLC, a company listed in the engineering sector of the capital market, has received approval from the Bangladesh Securities and Exchange Commission (BSEC) to proceed with a merger with Walton Digi-Tech Industries Limited.
According to sources at the Dhaka Stock Exchange (DSE), BSEC issued a no-objection certificate approving the merger process on Sunday, 15 March.
It has been learned that the decision will take effect subject to approvals from shareholders, creditors, and other stakeholders, as well as final approval from the High Court Division of the Supreme Court of Bangladesh. The merger is expected to strengthen Walton Hi-Tech’s product portfolio and help the company stay ahead of its competitors.
Walton Digi-Tech is a well-known information technology company in the country. The firm has been operating for more than eight consecutive years and, according to the list of the Bangladesh Investment Development Authority (BIDA), it has the capacity to produce more than 123 high-tech products under 36 brands.
According to financial reports, Walton Hi-Tech recorded earnings per share (EPS) of Tk 10.90 in the first half (July–December) of the current 2025–26 fiscal year, compared with Tk 9.14 during the same period of the previous fiscal year. As of 31 December 2025, the company’s net asset value per share (NAVPS) stood at Tk 358.41 (revalued).
For the most recently completed 2024–25 fiscal year, the company’s board declared dividends of 175 percent in cash and 10 percent in stock for investors. During the fiscal year under review, Walton Hi-Tech reported an EPS of Tk 34.22, compared with Tk 44.78 in the previous fiscal year. As of 30 June 2025, the company’s NAVPS stood at Tk 399.74 (revalued).
Walton Hi-Tech Industries was listed on the capital market on 23 September 2020. The company has an authorized capital of Tk 600 crore and a paid-up capital of Tk 333 crore 22 lakh 10 thousand. Its reserves stand at Tk 11,376 crore 91 lakh. The total number of shares is 33 crore 32 lakh 21 thousand 177. Of these, 67.09 percent are held by sponsor directors. Institutional investors hold 0.83 percent, foreign investors hold 0.03 percent, and the remaining 32.05 percent are held by general investors.
