Walton Tech Merger Moves to Next Phase with Digital Expansion Drive

The merger process between engineering-sector listed electronics company Walton Hi-Tech Industries PLC and leading technology product manufacturer and marketer Walton Digi-Tech Industries Limited has entered a new phase in the capital market. The High Court Division of the Bangladesh Supreme Court issued necessary procedural directives in this regard on April 9, 2026, in Company Matter No. 318/2026. Following this, the subsequent timeline for the merger was finalized at the 50th meeting of Walton Hi-Tech’s Board of Directors held on April 11.
According to the price-sensitive information (PSI) disclosed by the company on that day, May 4 has been set as the record date to obtain shareholder approval. Additionally, a Special General Meeting (EGM) will be held on Thursday, May 21, on a digital platform. Consent from creditors will also be considered as part of the process. However, the proposed merger will be effective subject to approvals from shareholders and creditors, consent from relevant regulatory authorities, and final approval from the High Court Division.
It is noted that the foundation for this merger was established on September 3 last year. On that day, a Memorandum of Understanding (MoU) was signed between Walton Hi-Tech Industries PLC and Walton Digi-Tech Industries Limited. The same day, the MoU related to the merger was approved at the 46th Board Meeting of Walton Hi-Tech.
Stakeholders say that once implemented, the merger will further strengthen Walton Hi-Tech’s product line. Currently, Walton Digi-Tech produces and markets 123 types of high-tech products and accessories, including laptops, computers, printers, mobile phones, printed circuit boards (PCB), and electric bikes. The company has established Bangladesh’s only mobile phone and PCB manufacturing plant. Through the merger, these products will be incorporated into Walton Hi-Tech’s business portfolio, playing a significant role in expanding market reach, enhancing operational efficiency, and reducing operational costs. Overall, the merger is being viewed as a strategic and timely step in Bangladesh’s electronics and high-tech manufacturing sector.
From a financial perspective, both companies remain in strong positions. For the fiscal year ending June 30, 2025, Walton Digi-Tech reported a paid-up capital of Tk 30 crore, net revenue of Tk 915.80 crore, and a post-tax profit of Tk 4.09 crore. In contrast, Walton Hi-Tech recorded a paid-up capital of Tk 302.93 crore, net revenue of Tk 7,082.25 crore, and a post-tax profit of Tk 1,036.62 crore during the same period. Walton Hi-Tech currently manufactures, markets, and exports a wide range of home and electrical appliances, including refrigerators, compressors, air conditioners, televisions, elevators, fans, cables, and washing machines.
According to relevant stakeholders, Walton Digi-Tech has earned a strong reputation in both local and international markets as a leading producer, marketer, and exporter of technology products. A merger with such an entity is expected to further expand Walton Hi-Tech’s business and benefit investors. On the other hand, Walton Hi-Tech is recognized in the capital market as a compliance-driven, fundamentally strong, and investor-trusted company; merging with it will further strengthen the overall business foundation.
