GoPro to Be Acquired by Starman Optical for $285 Million
US technology company GoPro, known as a pioneer in the action-camera industry, is being acquired by optical-photonics company Starman Optical. After several years of severe financial difficulties, GoPro has finally reached an agreement to merge with Starman Optical in a deal worth $285 million.
Debt Relief and Benefits for Shareholders
Under the terms of the agreement, GoPro shareholders will receive a total of $285 million in cash, equivalent to $1.14 per share. As a result, GoPro’s existing investors will retain approximately 10 percent ownership of the newly merged company.
In addition, once the deal is fully completed toward the end of this year, GoPro’s outstanding debt of approximately $92 million will be completely repaid. Despite the change in ownership, GoPro will remain listed on the Nasdaq stock exchange as before.
A New Direction: Artificial Intelligence and Military Technology
For the past several months, GoPro had been planning to expand beyond cameras and enter the military technology and data-center sectors. The newly formed Starman Optical primarily operates in optical-photonics technology. Through the merger, GoPro’s world-class lens and imaging technology intellectual property will be used to develop important equipment for AI data centers, robotics, aerospace, and military applications.
Charles Tebele, CEO of Starman Holdings, said the joint initiative was undertaken to bring the production of these critical technology products back to the United States.
The Future of Cameras and a Markiplier Surprise
Despite the transformation, GoPro is not leaving the action-camera market anytime soon. The company said it will continue offering its existing camera lineup and cloud subscription services to customers as before.
Interestingly, just before news of the deal became public, popular YouTuber Mark Fischbach, better known online as ‘Markiplier,’ purchased an 8.5 percent stake in GoPro, becoming the company’s largest single shareholder.
GoPro founder and CEO Nick Woodman hopes that through the deal, GoPro will establish a strong position as one of the United States’ leading imaging technology providers not only in the consumer market but also in the commercial and defense sectors.
