Uber signs $14.8 billion deal to acquire Delivery Hero, expanding global food delivery business
Uber Technologies has signed a definitive agreement to acquire German food delivery company Delivery Hero in a major move aimed at expanding its global food delivery and mobility business.
Under the agreement, Uber has offered €41.50 in cash per share, valuing Delivery Hero at approximately €13 billion ($14.8 billion).
Uber targets broader global reach
Welcoming the acquisition, Uber CEO Dara Khosrowshahi said combining the two platforms would allow the company to deliver affordable and reliable food delivery services to millions more customers worldwide.
He added that the merger would enable Uber to nearly double its combined ride-hailing and delivery operations in several markets where it previously had little or no presence.
The companies expect the transaction to be completed during the second half of 2027, subject to regulatory approvals.
Business restructuring to ease regulatory concerns
To facilitate regulatory approval, Delivery Hero will undertake a significant restructuring of its business, primarily aimed at reducing geographic overlap with Uber's existing operations and minimizing potential antitrust concerns.
As part of the plan, Delivery Hero will sell operations in 14 European and South American markets, including its Turkish subsidiary Yemeksepeti, to New York-based investment firm SSW Partners for €1.4 billion.
The divestiture also includes four European Union markets where Uber and Delivery Hero currently compete directly:
- Poland
- Portugal
- Spain
- Sweden
Shareholders back the deal
Delivery Hero's Management Board and Supervisory Board have unanimously endorsed Uber's offer and intend to recommend that shareholders approve the acquisition.
Uber has already built a substantial ownership stake in Delivery Hero by purchasing shares from major investors, including Prosus and Hong Kong-based Aspex Management.
The company currently owns approximately 24.77% of Delivery Hero's voting shares, while its total economic interest, including derivative positions, has reached roughly 37%.
Prosus has also committed to selling its remaining 17% stake to Uber under the new agreement, increasing Uber's overall ownership to approximately 53%.
Headquarters and jobs to remain in Germany
As part of the agreement, Uber has pledged to:
- Keep Delivery Hero's headquarters in Berlin.
- Avoid layoffs at the company's German operations until at least 2029.
- Invest an additional €2 billion in Germany over the next five years.
Following the acquisition, Uber will gain control of several leading regional food delivery brands, including:
- Talabat in the Middle East
- HungerStation in Saudi Arabia
- Baemin (Baedal Minjok) in South Korea
Industry consolidation accelerates
The acquisition represents another major consolidation in the global food delivery industry.
Industry analysts say the growing adoption of artificial intelligence and rapid technological transformation are pushing delivery companies to pursue larger-scale mergers and acquisitions to improve efficiency, expand market reach, and strengthen long-term profitability.
