Shareholders of listed engineering-sector company Walton Hi-Tech Industries PLC have unanimously approved a proposed merger with Walton Digi-Tech Industries Limited, a producer and marketer of information technology products.

The approval was granted at the company’s Extraordinary General Meeting (EGM) held on Wednesday, June 3. The virtual meeting was chaired by S M Shamsul Alam.

During the meeting, shareholders were informed that the merger would significantly expand Walton Hi-Tech’s product portfolio while creating opportunities for broader market reach, improved operational efficiency, and reduced management costs. The company expects the move to generate long-term benefits for shareholders.

Speaking at the meeting, Chairman S. M. Shamsul Alam said that Walton Hi-Tech is one of the country’s leading manufacturers of electronic and electrical products. Meanwhile, Walton Digi-Tech produces and markets a range of technology products, including laptops, computers, printers, mobile phones, printed circuit boards (PCBs), and electric bikes. He noted that combining the strengths of the two companies would further enhance their business capabilities.

Managing Director S M Mahbubul Alam described the merger as more than a consolidation of two companies. He said it represents the integration of technology, human resources, research and development capabilities, and market expansion strategies. According to him, the merger will enable faster decision-making, more efficient use of resources, and greater long-term value creation.

He added that Walton’s ambition is not only to maintain leadership in the domestic market but also to establish “Made in Bangladesh” technology products as globally recognized brands.

Shareholders participating in the EGM described the merger initiative as a timely and forward-looking business strategy.

The meeting was also informed that, under the merger arrangement, one ordinary share of Walton Hi-Tech will be issued for every 38.45 shares of Walton Digi-Tech. Accordingly, Walton Hi-Tech will issue 780,234 new shares against Walton Digi-Tech’s total of 30 million shares.
